Doing Business In The UAE

Appointing A Commercial Agent

Foreign businesses that desire to provide goods and services within the Emirates, but do not seek a physical presence there, usually conduct their business through the appointment of a UAE commercial agent. Commercial agencies are attractive because there is relatively little cost or expense to a foreign company seeking to do business in the UAE through this method, and, since business will be carried on through the name of the UAE agent, there is no requirement to procure a separate business license on behalf of the agency. In accordance with UAE law, a registered commercial agent must either be a UAE citizen, or a company that is 100% owned by UAE citizens. The commercial agent facilitates the marketing of a foreign company's goods and services in one or more of the Emirates, as stipulated by an agency agreement between the foreign principal and the UAE agent. The agency agreement also spells out all other rights and duties of the agent and principal, including the principal's profits and the agent's compensation - in the form of commissions - for his services within the UAE.

Opening A Branch

The Companies Law, in Article (313) allows a foreign company to exercise its main activity in the UAE by opening a branch or a representative office. The difference between the two is that the foreign company which opens a branch in the UAE may exercise freely the activities for which it is licensed whereas a representative office may practice only promotional business for the products and services provided by the parent company.
